style=\"padding-left: 27px;\">apply to all assignments to New Amsterdam Legal B.V. (NAL). Persons authorized by NAL to accept assignments on its behalf shall hereinafter be referred to as \u201cpartner\u201d.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-365a078 elementor-widget elementor-widget-text-editor\" data-id=\"365a078\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">2.<\/span><span style=\"padding-left: 15px;\">All client assignments are considered<\/span>\n\n&nbsp;\n<p style=\"padding-left: 27px;\">to have been given to NAL, also in the event that it is the explicit or implicit intent that the assignment be performed by a specific person affiliated to NAL. Article 7:404 of the Dutch Civil Code shall not apply. The term \u201cperson affiliated to NAL\u201d includes employees, advisors, partners and shareholder of NAL.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-704e01b elementor-widget elementor-widget-text-editor\" data-id=\"704e01b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">3.<\/span><span style=\"padding-left: 15px;\">If in connection with the performance <\/span>\n<p style=\"padding-left: 27px;\">of a client assignment, an event should occur which leads to the liability of NAL, such liability shall be limited to the amount or amounts paid out, if any, under NAL\u2019s professional<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t<div class=\"elementor-column elementor-col-25 elementor-top-column elementor-element elementor-element-915a2b2\" data-id=\"915a2b2\" data-element_type=\"column\" data-settings=\"{&quot;background_background&quot;:&quot;classic&quot;}\">\n\t\t\t<div class=\"elementor-column-wrap elementor-element-populated\">\n\t\t\t\t\t\t\t<div class=\"elementor-widget-wrap\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-79a0640 elementor-widget elementor-widget-text-editor\" data-id=\"79a0640\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><p>liability insurance including NAL\u2019s deductible as stated under this insurance. Such event shall also include a failure to act. In the event that, by or in connection with the performance of a client assignment or otherwise, damage, for which NAL is liable, is caused to persons or property, such liability shall be limited to the amount or amounts covered by third-party indemnity insurance including NAL\u2019s deductible as stated under this insurance.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ea5f5de elementor-widget elementor-widget-text-editor\" data-id=\"ea5f5de\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">4.<\/span><span style=\"padding-left: 15px;\">Each claim for damages will <\/span>\n<p style=\"padding-left: 27px;\">lapse one year after the start of the day, following the day on which the client has become known with the damages and with NAL as liable party.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ce454eb elementor-widget elementor-widget-text-editor\" data-id=\"ce454eb\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">5.<\/span><span style=\"padding-left: 15px;\">In the event that NAL engages <\/span>\n<p style=\"padding-left: 27px;\">a non-affiliated person in connection with the performance \n<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t<div class=\"elementor-column elementor-col-25 elementor-top-column elementor-element elementor-element-8871f27\" data-id=\"8871f27\" data-element_type=\"column\" data-settings=\"{&quot;background_background&quot;:&quot;classic&quot;}\">\n\t\t\t<div class=\"elementor-column-wrap elementor-element-populated\">\n\t\t\t\t\t\t\t<div class=\"elementor-widget-wrap\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-7d3ae1b elementor-widget elementor-widget-text-editor\" data-id=\"7d3ae1b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><p>of a client assignment, NAL shall not be liable to the client for any errors of such person. By giving an assignment to NAL, the client authorises NAL to accept on the client\u2019s behalf any limitation of liability requested by such non-affiliated person.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cb85703 elementor-widget elementor-widget-text-editor\" data-id=\"cb85703\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">6.<\/span><span style=\"padding-left: 15px;\">If in connection with the performance <\/span>\n<p style=\"padding-left: 27px;\">of a client assignment a third party claims damages from NAL, the client shall compensate NAL for all costs related thereto, including legal costs, penalties and damages that NAL is ordered to pay, except to the extent that NAL is reimbursed for such costs under an insurance policy.\n<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-effb3f4 elementor-widget elementor-widget-text-editor\" data-id=\"effb3f4\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">7.<\/span><span style=\"padding-left: 15px;\">The limitation of liability and <\/span>\n<p style=\"padding-left: 27px;\">rights to compensation contained in these general conditions also apply to each person affiliated to NAL, persons affiliated to NAL in the past and to successors under universal title of succession of such persons. The aforementioned persons may invoke these general terms and conditions.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t<div class=\"elementor-column elementor-col-25 elementor-top-column elementor-element elementor-element-8dbea07\" data-id=\"8dbea07\" data-element_type=\"column\" data-settings=\"{&quot;background_background&quot;:&quot;classic&quot;}\">\n\t\t\t<div class=\"elementor-column-wrap elementor-element-populated\">\n\t\t\t\t\t\t\t<div class=\"elementor-widget-wrap\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-7f011d0 elementor-widget elementor-widget-text-editor\" data-id=\"7f011d0\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">8.<\/span><span style=\"padding-left: 15px;\">NAL may in view of the <\/span>\n<p style=\"padding-left: 27px;\">performance of assignments, keep third-party monies in custody. \n<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6708e0e elementor-widget elementor-widget-text-editor\" data-id=\"6708e0e\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">9.<\/span><span style=\"padding-left: 15px;\"> As a result of applicable regulations <\/span>\n<p style=\"padding-left: 27px;\">(including The Act on the Prevention of Money Laundering and Financing of Terrorism (Wet ter voorkoming van witwassen en financieren van terrorisme) NAL is obliged to establish the identity of its clients and, under certain circumstances, to report unusual transactions to the authorities. By giving an assignment to NAL, the client confirms to be aware thereof and, to the extent necessary, to consent thereto.\n<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4d5106a elementor-widget elementor-widget-text-editor\" data-id=\"4d5106a\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">10.<\/span><span style=\"padding-left: 7px;\">The relationship between NAL <\/span>\n<p style=\"padding-left: 28px;\">and its clients shall be governed by Dutch law. Any disputes between NAL and a client shall be exclusively decided upon the competent court in Amsterdam, the Netherlands.\n<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0f1c3db elementor-widget elementor-widget-text-editor\" data-id=\"0f1c3db\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">11.<\/span><span style=\"padding-left: 7px;\">These general terms and conditions <\/span>\n<p style=\"padding-left: 28px;\"> are available in both the Dutch and English language. (NAL). Persons authorized by NAL to accept assignments on its behalf shall hereinafter be referred to as \u201cpartner\u201d.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-124de4d elementor-widget elementor-widget-text-editor\" data-id=\"124de4d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">2.<\/span><span style=\"padding-left: 15px;\">All client assignments are considered<\/span>\n\n&nbsp;\n<p style=\"padding-left: 27px;\">to have been given to NAL, also in the event that it is the explicit or implicit intent that the assignment be performed by a specific person affiliated to NAL. Article 7:404 of the Dutch Civil Code shall not apply. The term \u201cperson affiliated to NAL\u201d includes employees, advisors, partners and shareholder of NAL.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-17f3d4d elementor-widget elementor-widget-text-editor\" data-id=\"17f3d4d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">3.<\/span><span style=\"padding-left: 15px;\">If in connection with the performance <\/span>\n<p style=\"padding-left: 27px;\">of a client assignment, an event should occur which leads to the liability of NAL, such liability shall be limited to the amount or amounts paid out, if any, under NAL\u2019s professional liability insurance including NAL\u2019s deductible as stated under this insurance. Such event shall also include a failure to act. In the event that, by or in connection with the performance of a client assignment or otherwise, damage, for which NAL is liable, is caused to persons or property, such liability shall be limited to the amount or amounts covered by third-party indemnity insurance including NAL\u2019s deductible as stated under this insurance.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-eca384f elementor-widget elementor-widget-text-editor\" data-id=\"eca384f\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t<div class=\"elementor-column elementor-col-25 elementor-top-column elementor-element elementor-element-a2edcbd\" data-id=\"a2edcbd\" data-element_type=\"column\" data-settings=\"{&quot;background_background&quot;:&quot;classic&quot;}\">\n\t\t\t<div class=\"elementor-column-wrap elementor-element-populated\">\n\t\t\t\t\t\t\t<div class=\"elementor-widget-wrap\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-4d16211 elementor-widget elementor-widget-text-editor\" data-id=\"4d16211\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">4.<\/span><span style=\"padding-left: 15px;\">Each claim for damages will <\/span>\n<p style=\"padding-left: 27px;\">lapse one year after the start of the day, following the day on which the client has become known with the damages and with NAL as liable party.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-622f4ed elementor-widget elementor-widget-text-editor\" data-id=\"622f4ed\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">5.<\/span><span style=\"padding-left: 15px;\">In the event that NAL engages <\/span>\n<p style=\"padding-left: 27px;\">a non-affiliated person in connection with the performanceof a client assignment, NAL shall not be liable to the client for any errors of such person. By giving an assignment to NAL, the client authorises NAL to accept on the client\u2019s behalf any limitation of liability requested by such non-affiliated person.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t<div class=\"elementor-column elementor-col-25 elementor-top-column elementor-element elementor-element-c37a8a7\" data-id=\"c37a8a7\" data-element_type=\"column\" data-settings=\"{&quot;background_background&quot;:&quot;classic&quot;}\">\n\t\t\t<div class=\"elementor-column-wrap elementor-element-populated\">\n\t\t\t\t\t\t\t<div class=\"elementor-widget-wrap\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-8cfcec0 elementor-widget elementor-widget-text-editor\" data-id=\"8cfcec0\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">6.<\/span><span style=\"padding-left: 15px;\">If in connection with the performance <\/span>\n<p style=\"padding-left: 27px;\">of a client assignment a third party claims damages from NAL, the client shall compensate NAL for all costs related thereto, including legal costs, penalties and damages that NAL is ordered to pay, except to the extent that NAL is reimbursed for such costs under an insurance policy.\n<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1bf3dfd elementor-widget elementor-widget-text-editor\" data-id=\"1bf3dfd\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">7.<\/span><span style=\"padding-left: 15px;\">The limitation of liability and <\/span>\n<p style=\"padding-left: 27px;\">rights to compensation contained in these general conditions also apply to each person affiliated to NAL, persons affiliated to NAL in the past and to successors under universal title of succession of such persons. By giving an assignment to NAL, the client confirms to be aware thereof and, to the extent necessary, to consent thereto.\n<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f01ce71 elementor-widget elementor-widget-text-editor\" data-id=\"f01ce71\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\"><span style=\"color: #000000; font-weight: bold;\">10.<\/span><span style=\"padding-left: 7px;\">The relationship between NAL <\/span>\n<p style=\"padding-left: 28px;\">and its clients shall be governed by Dutch law.
